Scope & formation of contract
These conditions apply to all offers, sales and deliveries by Soydan Hidrolik Pnömatik Otomasyon Teknolojileri A.Ş. ("Soydan"), İzmir, Türkiye, to business customers. A contract arises only upon our written order confirmation. Conflicting purchase conditions apply only if we accept them in writing.
Offers & validity
Our offers are valid for 30 days from the offer date unless the offer states otherwise. Technical documents, drawings and weights are indicative unless expressly confirmed as binding.
Prices
Prices are net in EUR unless quoted otherwise, excluding VAT, duties, levies, packaging and transport. For deliveries agreed more than four months after contract, or upon unforeseeable increases in raw-material, energy, wage, customs or exchange-rate costs, we may adjust prices proportionally with 14 days written notice; the customer may cancel the affected order within 7 days of such notice.
Delivery & Incoterms
Delivery is EXW our İzmir factory (Incoterms 2020) unless the order confirmation specifies FCA, CPT, DAP or DDP. Risk passes according to the agreed Incoterm. For DDP deliveries, all taxes, duties and levies outside Türkiye are added to the price. Partial deliveries are permitted.
Delivery times
Delivery times are non-binding estimates unless expressly confirmed as firm in writing. For resold third-party components, delivery dates are additionally contingent on the respective manufacturer’s deliveries to us.
Warranty — Hydrocyl™ manufactured products
We warrant products of our own manufacture against defects in material, workmanship and design for 12 months from the invoice date. Remedy: repair or replacement at our option; if cure fails after reasonable opportunity, the customer may reduce the price or withdraw from the affected order. Repaired or replaced parts are warranted for the remainder of the original period. The warranty is conditional on the product being installed, operated and maintained strictly in accordance with the Soydan Product Operating & Maintenance Manuals and the order-specific documentation supplied with each unit — use outside these documents voids the warranty.
Warranty — resold components
For components manufactured by third parties (including Bosch Rexroth, Parker, Festo, Wessel-Hydraulik and other represented brands), our warranty is limited in scope and duration to the warranty the respective manufacturer grants to us — in practice typically likewise around 12 months. We may discharge our obligation by assigning our warranty claims against the manufacturer to the customer. Our obligation for resold goods is to deliver the ordered part number; suitability for the customer’s application remains the customer’s responsibility.
Warranty exclusions
The warranty does not cover: normal wear and tear (including seals and other wear parts); installation, operation or maintenance contrary to the Operating & Maintenance Manuals; improper installation, commissioning, maintenance or storage; overload or operation outside specified parameters; unsuitable or contaminated hydraulic fluid; modifications or repairs by the customer or third parties without our consent; designs or materials specified by the customer; and damage from external causes or force majeure. Costs of removal, reinstallation, access, hoisting and travel are excluded. Warranty claims presuppose that the customer has met its payment obligations.
Notification of defects
Obvious defects and shortages must be notified in writing within 8 days of delivery; transport damage must be reserved on the carrier’s delivery note at receipt. Hidden defects must be notified within 14 days of discovery, and in any event within the warranty period. Late notification renders the goods deemed accepted.
Liability
We are liable without limitation for intent, gross negligence, injury to life, body or health, and under mandatory product-liability law. In all other cases our aggregate liability is limited to the net price of the goods giving rise to the claim, and liability for indirect and consequential damages — including loss of production, profit, use, contracts or goodwill — is excluded.
Retention of title & payment
Delivered goods remain our property until full payment of the respective invoice; until then the customer shall not encumber the goods or move them to another country. Retention of title does not affect the passing of risk. Payment terms are agreed per customer and stated on the order confirmation and invoice — from payment in advance to net 15, 30 or 60 days. Unless otherwise agreed, invoices are payable net within 30 days of invoice date. Late payment bears interest at the reference rate plus 8 percentage points, plus a EUR 40 recovery cost lump sum. Set-off is permitted only with undisputed or finally adjudicated counterclaims. We may require advance payment, letter of credit or other security for new accounts or upon justified doubt.
Force majeure, law & disputes
Events beyond our reasonable control — including war, terrorism, epidemics, natural disasters, strikes, energy shortages, export-control or licensing delays, cyber incidents, and failure or delay of our sub-suppliers — extend delivery obligations for their duration; payment obligations are not excused; either party may terminate the affected order after 60 days of continuous force majeure. These conditions are governed by Turkish law, excluding the CISG. Disputes are finally settled by arbitration under the Istanbul Arbitration Centre (ISTAC) Rules, seat İstanbul, language English, unless the parties agree on a competent court.
